Terms of Service for Fleurspace

Welcome to Fleurspace. These Terms of Service (“Terms”) govern your access to and use of the Fleurspace website, platform, applications, and related services (collectively, the “Platform”). By using Fleurspace, you agree to these Terms.

If you do not agree to these Terms, do not use the Platform.

  1. About Fleurspace

Fleurspace is an online marketplace that connects users seeking:

floral studio rentals workshop space rentals freelance floral professionals floral and event-related services

The Platform allows users to create listings, browse listings, communicate with one another, and arrange bookings or collaborations.

Fleurspace is not a party to agreements made between users unless explicitly stated otherwise.

  1. Eligibility

You must be at least 18 years old to use Fleurspace.

By using the Platform, you represent that:

you can legally enter into binding agreements all information you provide is accurate you will comply with all applicable laws and regulations

  1. User Accounts

To access certain features, you may be required to create an account.

You are responsible for:

maintaining the confidentiality of your account credentials all activity conducted through your account keeping your information accurate and up to date

Fleurspace reserves the right to suspend or terminate accounts that violate these Terms.

  1. Marketplace Disclaimer

Fleurspace is a technology platform and marketplace only.

Fleurspace:

does not own, operate, manage, supervise, or control listed businesses, freelancers, or rental spaces does not employ freelancers or service providers does not guarantee the quality, legality, safety, suitability, or availability of any listing, service, or user is not responsible for the actions, conduct, or performance of users is not a staffing agency, employer, contractor, or event operator

Any agreement formed between users is solely between those users.

  1. Independent Contractor Relationship

Service providers, freelancers, floral designers, assistants, and other professionals using Fleurspace are independent contractors and independent businesses.

Nothing in these Terms creates:

an employment relationship partnership joint venture agency relationship

Users are solely responsible for:

taxes insurance permits licenses compliance with labor laws compliance with workplace safety laws

Fleurspace does not control:

pricing scheduling methods of work performance standards tools or materials used

  1. Space Listings

Users listing studios, workspaces, or properties (“Hosts”) are solely responsible for:

maintaining safe premises ensuring accuracy of listings complying with zoning, lease, insurance, HOA, venue, or local regulations obtaining any required permissions

Hosts may not list spaces they do not have authority to rent or share.

  1. Service Listings

Users offering services (“Service Providers”) may list freelance or creative services including but not limited to:

floral design installation assistance event setup and strike flower processing on-site support production assistance drivers

Service Providers agree that:

all qualifications and experience represented are truthful portfolio materials belong to them or are used with permission services comply with applicable laws they will conduct themselves professionally and safely

Fleurspace reserves the right to remove any listing at its sole discretion.

  1. User Conduct

You agree not to:

violate any law post false or misleading information harass, threaten, discriminate against, or harm others infringe intellectual property rights upload viruses or malicious code engage in fraud or scams impersonate another person or business circumvent platform fees or protections in bad faith solicit illegal activity

Fleurspace may investigate and remove content or accounts that violate these Terms.

  1. Bookings and Transactions

Users are solely responsible for negotiating and fulfilling agreements made through the Platform.

Fleurspace is not responsible for:

cancellations no-shows late arrivals unsatisfactory services property damage disputes between users injuries or losses

If Fleurspace facilitates payments, additional payment terms may apply.

  1. Payments and Fees

Fleurspace charges:

a commission fee charged to the person providing the listing- 10% for services and 15% for spaces

All fees are non-refundable unless otherwise stated.

Payment processing is handled Stripe. By using paid services, you also agree to the terms of those providers.

Fleurspace is not liable for:

failed transactions bank errors chargebacks third-party processor issues

Users are responsible for reporting and paying applicable taxes.

  1. Reviews and Ratings

Users may leave reviews and ratings.

Reviews must:

reflect honest experiences not contain false, defamatory, abusive, or discriminatory content not be used for extortion or retaliation

Fleurspace reserves the right to remove reviews or ratings at its discretion.

  1. User Content

Users retain ownership of content they upload, including:

photos portfolios logos listing descriptions reviews messages

By posting content, you grant Fleurspace a worldwide, non-exclusive, royalty-free license to:

display reproduce modify distribute market promote

that content in connection with operating and promoting the Platform.

You represent that you have the right to upload and use all content provided.

  1. Intellectual Property

All Platform content excluding user-generated content, including branding, design, graphics, software, and text, is owned by Fleurspace or its licensors.

You may not:

copy reproduce distribute reverse engineer exploit

any portion of the Platform without written permission.

  1. Safety and Insurance

Users are responsible for their own safety and risk assessment.

Fleurspace strongly recommends that users maintain appropriate insurance, including:

general liability insurance commercial property insurance workers’ compensation insurance where applicable event insurance

Fleurspace is not responsible for:

workplace injuries accidents theft damage to equipment or property personal injury venue damages

  1. Third-Party Services

The Platform may contain integrations or links to third-party services including:

payment processors maps social media platforms analytics providers

Fleurspace is not responsible for third-party content, policies, or services.

  1. Termination

Fleurspace may suspend or terminate access to the Platform at any time for:

violations of these Terms suspected fraud abusive behavior legal compliance conduct harmful to the Platform or its users exchanging contact information to book off the platform

Users may stop using the Platform at any time.

  1. Disclaimer of Warranties

The Platform is provided “as is” and “as available.”

Fleurspace makes no warranties regarding:

availability reliability accuracy safety quality of services user conduct booking outcomes

To the fullest extent permitted by law, Fleurspace disclaims all warranties, express or implied.

  1. Limitation of Liability

To the maximum extent permitted by law, Fleurspace and its owners, employees, affiliates, contractors, and partners shall not be liable for:

indirect damages incidental damages consequential damages lost profits lost business opportunities personal injury property damage disputes between users

Fleurspace’s total liability arising from use of the Platform shall not exceed the amount paid by the user to Fleurspace in the 12 months preceding the claim.

  1. Indemnification

You agree to indemnify and hold harmless Fleurspace and its affiliates from claims, damages, liabilities, losses, and expenses arising from:

your use of the Platform your listings or services your violation of these Terms your violation of any law or third-party rights 20. Dispute Resolution and Arbitration

Any dispute arising from these Terms or use of the Platform shall be resolved through binding arbitration in the State of California, except where prohibited by law.

Users waive the right to:

jury trials class actions class arbitration

You agree that disputes will be resolved individually.

  1. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

  1. Changes to These Terms

Fleurspace may update these Terms at any time.

Updated Terms become effective upon posting to the Platform. Continued use of the Platform after updates constitutes acceptance of the revised Terms.
